1. Who you are contracting with

The Golojoy Partner Portal and Golojoy for Business (the “Service”) are provided by Golojoy Tech Co., Ltd. (บริษัท โกโลจอย เทค จำกัด), a company registered in Thailand (“Golojoy”, “we”, “us”). By creating an account or continuing to use the Service you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it; if you accept as an individual, you confirm you are of legal age.

2. The Service

Golojoy is subscription software for managing wellness and leisure commerce: partners publish services, take and manage bookings, validate QR tickets, manage staff and receive payouts; corporate customers administer employee benefit allowances, department budgets, category controls and reporting.

3. Your account

You must provide accurate information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account. Each email address is bound to a single workspace role.

4. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You may not reverse engineer, resell or redistribute the Service, or circumvent technical or plan limits.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• use it for any unlawful purpose or in breach of Thai law or any applicable law;
• commit fraud, launder money, send spam, or submit false bookings or payout claims;
• infringe the intellectual property or privacy rights of others;
• upload malware, probe or attack the Service, scrape it, or interfere with its security or availability;
• upload employee or customer data you have no lawful basis to share with us.

6. Your content

You keep ownership of the content and records you upload. You grant us a limited licence to host, process and display that content solely to operate and support the Service.

7. Intellectual property

Golojoy retains all rights in the Service, including its software, design, documentation and branding. Nothing in these Terms transfers any of those rights to you.

8. Payments, subscriptions and our reseller

Subscriptions are sold and invoiced directly by Golojoy Tech Co., Ltd.Accepted payment methods are PromptPay QR, bank transfer to our corporate account, and — for Enterprise / Chain plans — approved credit terms.

Payment, billing frequency, taxes, renewals, cancellation and refund mechanics are governed by these Terms and the subscription amendment accepted at checkout. Where a credit term is agreed, payment is due on the agreed due date and late payment may incur interest and penalties permitted by Thai law. Subscriptions renew automatically for the same period until cancelled. Our own refund commitment is set out in our Refund Policy.

Commission on transactions processed through Golojoy, and payout cycles, are those shown on our Pricing page and in your plan.

9. Service levels and warranties

We work to keep the Service available and accurate, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Liability

To the extent permitted by law, we exclude liability for indirect, consequential or special damages, including loss of profits, revenue, data or goodwill. Our total aggregate liability is capped at the subscription fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

11. Indemnity

You will indemnify us against third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and a chance to fix the problem first. You may cancel at any time; cancellation takes effect at the end of the current billing period.

After termination you may export your records for 30 days, after which we delete or anonymise them subject to legal retention requirements.

13. Governing law and disputes

These Terms are governed by the laws of Thailand, and the courts of Bangkok, Thailand have exclusive jurisdiction.

14. General

You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest remains in force. We may update these Terms and will notify you of material changes before they take effect.
